This Contract Agreement ("Agreement") is made effective as of the submission date by and between The Hookup ("Service Provider") and the registered business ("Customer").
1. Term of Agreement: The Customer agrees to a one-year contract, commencing on the effective date of this Agreement. After one year, the Agreement will automatically convert to a month-to-month basis unless terminated as provided herein.
2. Cancellation Policy: A written notice of cancellation must be provided at least 30 days prior to the 1 year term expiration.
3. Services Provided: The Service Provider agrees to provide the Customer with access to The Hook Up app, including a dedicated page for the Customer to upload information, pictures, and coupons. The Customer is responsible for managing their page, ensuring all content is current and accurate.
4. Advertising Pricing: As a bonus, the Customer will receive special pricing for advertising on The Hook Up's social media pages when needed.
5. Responsibility for Content: The Customer agrees to be fully responsible for the content they post on their dedicated page. The Service Provider is not liable for any negative community posts or feedback and will not remove posts unless they are deemed threatening or harmful to followers.
6. Collection Costs: In the event that the Customer fails to fulfill their obligations under this Agreement, they agree to be responsible for any costs incurred by the Service Provider to collect any outstanding payments.
7. Limitation of Liability: The Hook Up is not responsible or liable for any direct, indirect, incidental, or consequential damages arising from the use of the app or any content posted by the Customer or the community.
8. Indemnification: The Customer agrees to indemnify and hold harmless the Service Provider from any claims, losses, liabilities, damages, or expenses (including reasonable attorney fees) arising from the Customer’s use of the app and any content posted on their page.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California.
10. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
